Boqii Holding Ltd. (中国)

The Company operates a pet-focused platform in the People s Republic of China. The company offers food, treats, shampoos, toys, cages, apparel, OTC veterinary drugs, and other pet products to pet parents, and small and medium pet businesses through e-commerce platforms and offline distribution network.
The Company is a holding company and do not directly own any substantive business operations in the PRC. The Company currently focus its business operations within the PRC primarily through the VIEs, Suzhou Taicheng, Shanghai Guangcheng, Nanjing Xingmu and Shanghai Yiqin.
The Company operates as an online one-stop destination for users to shop for a variety of pet products and interact with other users in its online pet community in the People's Republic of China (the “PRC”), through its online platforms (Boqii.com and Boqii application, collectively “Boqii Marketplace”), branded stores on third-party online platforms (the “Online Branded Stores”) and its online pet community (“Boqii Community”). In addition to online business, the Company provides pet products to offline pet stores and hospitals.
The Company has only one reportable segment.
HISTORY
2008 The Company commenced operations in 2008 with the establishment of Guangcheng Technology in December 2007.
2012 The Company incorporated Boqii Holding Limited, an exempted company with limited liability incorporated in the Cayman Islands, as our offshore holding company in June 2012 to facilitate offshore financing and its initial public offering.
In July 2012, Boqii Corporation, its wholly owned subsidiary, was established in Hong Kong.
In November 2012, Shanghai Xincheng, its wholly owned subsidiary, was established in the PRC.
2016 In August 2016, Boqii International, its wholly owned subsidiary, was established in Hong Kong.
2019 In November 2019, the Company incorporated Yoken Holding as a wholly owned subsidiary under the laws of the Cayman Islands, and in December 2019, the Company transferred all of its shares in Yoken International to Yoken Holding.
2020 The Comapny s ADSs have been listed on the NYSE under the symbol “BQ.”
In October 2020, the Company completed an initial public offering in which the Company offered and sold an aggregate of 5,250,000 Class A ordinary shares in the form of ADSs.
2022 In May 2022, the Company changed the ratio of its ADSs to Class A ordinary shares from one (1) ADS representing three fourths (0.75) Class A ordinary shares to one (1) ADS representing four and a half (4.5) Class A ordinary shares (the “ADS Ratio Change”). The ADS Ratio Change became effective on June 3, 2022.
2025 The Depositary of the Company's ADSs will distribute to all owners and holders of ADSs a notification regarding the termination of ADS facility pursuant to the Deposit Agreement. The effective date of the termination of the Deposit Agreement will be July 11, 2025 (the “Effective Date”). Immediately following the termination of the ADS Facility and on the Effective Date, the Company will implement a reverse stock split (the “Reverse Split”), pursuant to which every 160 existing ordinary shares of a par value of US 0.001 each will be consolidated into one new ordinary share of a par value of US 0.16 each (each, a “New Ordinary Share”). On the Effective Date, all outstanding ADSs will be automatically cancelled and will be entitled to receive the New Ordinary Shares at a rate of 15/16, or 0.9375 New Ordinary Share for each ADS cancelled (the “Mandatory Exchange”). Following the Mandatory Exchange and simultaneous Reverse Split, the New Ordinary Shares are anticipated to trade directly on NYSE American LLC (“AMEX”) beginning on the Effective Date.
