Dingyi Group Investment Limited is a limited liability company registered in Bermuda. It is listed on the main board of the Hong Kong Stock Exchange with the stock code 508. In June 17, 2011, Yongguan Capital Investment Limited ("Yongguan") signed a share purchase agreement with the former major shareholder of the company, Qishi International Group Limited ("Qishi International"). As per the agreement, Qishi International agreed to sell and Yongguan agreed to purchase approximately 54.14% of the company's issued share capital as of the date of the share purchase agreement. The share sale was completed on September 28, 2011, and Yongguan and its concerted parties owned approximately 54.14% of the company's issued share capital as of the completion date. Therefore, in accordance with Rule 26.1 of the Hong Kong Code on Takeovers and Mergers, Yongguan made a mandatory unconditional general offer ("Offer") in cash for all the issued shares of the company not already owned or agreed to be acquired by Yongguan and its concerted parties. Following the completion of the Offer on October 27, 2011, Yongguan collectively held approximately 70.01% of the company's issued share capital. Mr. Li Guangyu is the controlling shareholder of the company and the beneficial owner of Yongguan. He started his entrepreneurial journey in 1993, primarily engaged in industries such as trade and urban infrastructure construction. In 2007, he established a professional investment institution, focusing on the field of capital investment. After more than a decade of solid development, the group he owns has grown into a diversified industrial investment group, with businesses including highway operation, real estate development and operation, mining investment, financial investment, and venture capital. The group is mainly based in Shenzhen and has offices in Hong Kong, Beijing, Zhanjiang, and Seattle.
