Veon Ltd. (Russia)

The Company shall be a legal entity in the form of an open joint stock company established pursuant to the decision of the Founders, dated June 15, 1993 (Protocol No.1 of the Meeting of the Founders, dated June 15, 1993) and registered with the Moscow Registration Chamber (Certificate No. 015.624, dated July 28, 1993) and the State Registration Chamber on June 14, 1995 (Certificate No. 5143.16, dated June 14, 1995).
The Company provides voice and data telecommunication services through a range of traditional and broadband mobile and fixed-line technologies. The Company operated telecommunications services in Russia, Pakistan, Algeria, Bangladesh, Ukraine, Uzbekistan, Kazakhstan, Armenia, Tajikistan, Georgia, Kyrgyzstan and Laos, and in Italy via a 50/50 joint venture.
The Company was the first Russian company to list its shares on the NYSE in November 1996. VimpelCom s ADSs are listed on the NYSE under the symbol VIP . VimpelCom was also the first Russian company to issue U.S. SEC-registered convertible notes in July 2000. VimpelCom s convertible notes are listed on the NYSE under the symbol VIP 05 .
On October 5, 2009, VimpelCom's two major shareholders, Altimo and Telenor, signed a series of agreements pursuant to which they agreed to combine their holdings in VimpelCom and Closed Joint Stock Company “Kyivstar G.S.M.” (“Kyivstar”) under a new company, VimpelCom Ltd., to be listed on the New York Stock Exchange.
VimpelCom Ltd. (“VimpelCom” or the “Company”) was formed in Bermuda on June 5, 2009, as an exempted company under the name New Spring Company Ltd., which was subsequently changed to VimpelCom Ltd. on October 1, 2009. VimpelCom Ltd. was formed to recapitalize Open Joint Stock Company “Vimpel-Communications” (“OJSC VimpelCom”) and acquire CJSC “Kyivstar G.S.M.” (“Kyivstar”). On April 21, 2010, VimpelCom successfully completed an exchange offer (“Exchange Offer”) for OJSC VimpelCom shares. Therefore, effective April 21, 2010, OJSC VimpelCom is a subsidiary of VimpelCom. On August 6, 2010, VimpelCom became the sole shareholder of OJSC VimpelCom. VimpelCom Ltd. ADS began trading on the New York Stock Exchange (“NYSE”) on April 22, 2010.
while OJSC VimpelCom ADS were delisted from the NYSE on May 14, 2010.
The Company changed its name from VimpelCom Ltd. to VEON Ltd., effective as of March 30, 2017.
