ALR Technologies SG Ltd. (“ALR Singapore”) is a company incorporated in Singapore on May 16, 2020.
ALR Singapore was initially incorporated as a wholly owned subsidiary of ALR Technologies Inc. (USA000041524), a Nevada corporation (“ALR Nevada”), which was incorporated on March 24, 1987, under the laws of the State of Nevada. In December 1998, ALR Nevada s common stock began trading on the NASD Bulletin Board operated by the National Association of Securities Dealers, Inc..
On May 17, 2022, ALR Singapore, ALR Nevada, and ALRT Delaware, Inc., a Delaware corporation (“ALR Delaware”) and wholly owned subsidiary of ALR Singapore, entered into an Agreement and Plan of Merger and Reorganization. Pursuant to this agreement, ALR Delaware merged with and into ALR Nevada, with ALR Nevada surviving the merger as a wholly owned subsidiary of ALR Singapore. This transaction is referred to as the “Redomicile Merger.”
Following the effectiveness of the Redomicile Merger, and pursuant to ALR Singapore s Registration Statement on Form F-4 (File No. 333-265166), which was declared effective by the U.S. Securities and Exchange Commission on September 23, 2022, ALR Singapore s ordinary shares were approved for quotation on the OTCQB tier of the OTC Markets Group under the trading symbol “ALRTF.” Subsequently, effective April 8, 2025, the company s ordinary shares began trading on the OTC Pink market.
As a result of the Redomicile Merger, ALR Singapore currently has two subsidiaries: ALR Nevada and ALR Canada.
Operationally, ALR Technologies SG Ltd. is a data management company focused on diabetes care solutions for both human and animal health. The company offers the ALRT Diabetes Solution, a diabetes management platform that collects data directly from blood glucose meters and continuous glucose monitoring (CGM) devices. The solution incorporates a Predictive A1C algorithm designed to track treatment progress between laboratory reports, as well as an FDA-cleared Insulin Dosing Adjustment program.
In addition, the company provides GluCurve Pet CGM, a product developed to address unmet needs in diabetes care for felines and canines. This solution combines CGM hardware with an adapted version of the company's diabetes management software for use by veterinarians in animal health settings.
