Through operating subsidiaries, the Company are a digital asset technology company based in Singapore, Hong Kong and the U.S. with proprietary cryptocurrency-mining technologies and a strategic focus on alternative cryptocurrencies.
The Company have applied to list our Class A ordinary shares on the Nasdaq Stock Market under the symbol “BGIN”.
SEGMENT
During the year ended December 31, 2023, the Company operated in two primary reportable segments, which were the cryptocurrency mining and the sale of mining machines.
HISTORY
2019 In March 2019, the Company commenced our operations in the cryptocurrency mining business through Bgin HK, its subsidiary in Hong Kong, which was co-founded by Mr. Qiuhua Li, its chairman of the board of directors, and Mr. Qingfeng Wu, chief executive officer.
2021 In September 2021, the Company s management decided to expand our operations to the North American market.
On September 10, 2021, Bgin Infrastructure US and Bgin Management were formed in the State of Delaware, through which it conducted its mining business in the State of Nebraska. On October 12, 2021, Gestion Bgin Inc. and Infrastructure Bgin Inc. were incorporated in Canada.
2022 On March 23, 2022, BGIN BLOCKCHAIN LIMITED was incorporated under the laws of the Cayman Islands as its offshore holding company.
From January 2022 to July 2022, in anticipation of the proposed initial public offering, itcompleted a series of reorganizational steps.
2014 On November 14, 2024, the Company incorporated BGIN EU LIMITED in Ireland as a wholly-owned subsidiary of Bgin SG. Bgin EU provides after-sales services to customers who purchased its “ICERIVER” brand mining machines.
2025 On January 9, 2025, the Company dissolved Gestion Bgin Inc. and Infrastructure Bgin Inc., its former indirect wholly-owned subsidiaries, which companies ceased to exist as of the same date.
